Nexova ("we," "our," or "us") is committed to protecting the privacy and security of our users and their organizations' data. This Privacy Policy explains how we collect, use, store, and protect information when you use our AI Workforce Transformation Platform (the "Service").

2. Information We Collect

Account Information: When you purchase a plan, we collect your name, email address, company name, industry, and payment information. Payment processing is handled by our third-party payment processor (Stripe); we do not store credit card numbers on our servers.

Workforce Data: You upload organizational data including job titles, departments, headcounts, salary ranges, seniority levels, locations, and optionally job descriptions. We explicitly do not request or require any personally identifiable information (PII) about individual employees. Our analysis operates on role-level aggregate data, not individual employee records.

Usage Data: We collect standard usage analytics including pages visited, features used, assessment configurations, and browser/device information to improve the Service.

3. How We Use Your Information

We use the information we collect to:

• Generate your workforce transformation analysis, scenarios, blueprints, and recommendations
• Process payments and manage your account
• Improve our AI Capability Index and displacement scoring models (using anonymized, aggregated data only)
• Communicate with you about your account, assessments, and product updates
• Comply with legal obligations

4. Data Isolation & Security

Each customer's assessment data is logically isolated. Your workforce data is never combined with, visible to, or accessible by other customers. We implement the following security measures:

• Encryption in transit: All data transmitted between your browser and our servers is encrypted using TLS 1.3
• Encryption at rest: All stored data is encrypted using AES-256
• Access controls: Access to customer data is restricted to essential personnel on a need-to-know basis
• No third-party sharing: We do not sell, rent, or share your workforce data with any third parties for their own purposes

5. Data Retention & Deletion

We retain your assessment data for the duration of your active plan plus 90 days. After plan expiration:

• Single Assessment: Data retained for 90 days from purchase date, then automatically deleted
• Annual Plan: Data retained for the subscription period plus 90 days after expiration

You may request immediate deletion of all your data at any time by contacting us. Upon receiving a deletion request, all assessment data, uploaded files, and generated reports will be permanently purged from our systems within 48 hours. We do not retain backups of deleted customer data.

6. Anonymized & Aggregated Data

We may use anonymized, aggregated data (which cannot be traced back to any individual company or employee) to improve our AI Capability Index, refine displacement scoring models, and publish industry benchmarks. This aggregated data contains no company names, employee information, or identifying characteristics.

7. AI Processing

Your workforce data is processed by our AI scoring engine to generate displacement scores, scenario models, and transformation blueprints. This processing occurs on our secure infrastructure. We do not send your raw workforce data to external AI providers. Our AI Capability Index (the reference database of AI capabilities) is maintained internally and does not contain any customer data.

8. Cookies & Tracking

We use essential cookies to maintain your session and assessment state. We use analytics cookies (which you may opt out of) to understand how the Service is used. We do not use advertising cookies or sell data to advertisers.

Depending on your jurisdiction, you may have the right to:

• Access the data we hold about you and your organization
• Request correction of inaccurate data
• Request deletion of your data
• Export your assessment results
• Object to processing of your data
• Withdraw consent at any time

1. Acceptance of Terms

By accessing or using the Nexova platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Nexova provides an AI-powered workforce transformation analysis platform. Users upload organizational role-level data, and our system generates displacement risk assessments, scenario models, transformation blueprints, and transition recommendations. The Service includes a free sample data explorer and paid assessment plans.

3. Account & Plans

Sample Explorer: Available at no cost. Allows exploration of the platform using pre-loaded sample data. No account required. You may not upload your own organizational data under the Sample Explorer.

Single Assessment ($1,999): One-time purchase granting access to one complete workforce assessment with a 90-day access period. Includes all analysis features, blueprint, and progress tracker.

Annual Plan ($7,999/year): Subscription granting access to up to five assessments over a 12-month period, plus company enrichment, benchmarking, and priority support. Automatically renews unless cancelled at least 30 days before the renewal date.

4. Payment & Refunds

All payments are processed securely through Stripe. Prices are in US dollars and exclude applicable taxes. We offer a 14-day satisfaction guarantee: if you are not satisfied with your assessment results, contact us within 14 days of purchase for a full refund, provided you have run no more than one assessment. Annual Plan refunds are prorated based on unused months if requested within 30 days of purchase.

5. Your Data & Responsibilities

You are responsible for the accuracy and legality of data you upload to the Service. By uploading data, you represent that:

• You have the right and authority to share the data with us for processing
• The data does not contain personally identifiable information (PII) of individual employees, unless you choose to include optional job descriptions
• Your use of the Service and any resulting workforce decisions comply with all applicable employment laws and regulations in your jurisdiction

We do not verify the accuracy of uploaded data. Assessment quality depends on data quality — incomplete or inaccurate inputs will produce less reliable outputs.

6. Intellectual Property

Our IP: The Service, including the AI Capability Index, scoring algorithms, role taxonomy, user interface, and all associated documentation, is owned by Nexova and protected by intellectual property laws. Your purchase grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

Your Data: You retain all ownership rights to the organizational data you upload. We claim no ownership over your input data or the assessment results generated from your data. You may export, share, and use your assessment results for any internal business purpose.

7. Acceptable Use

You agree not to:

• Resell, redistribute, or white-label the Service or its outputs without written permission
• Reverse-engineer, decompile, or attempt to extract the AI Capability Index or scoring algorithms
• Use the Service to make employment decisions that violate anti-discrimination, labor, or employment laws
• Upload data containing sensitive PII (Social Security numbers, medical records, etc.)
• Attempt to access other users' data or circumvent security measures
• Use automated tools to scrape or extract data from the Service

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

• Assessment results will be 100% accurate or complete
• AI displacement projections will match actual future outcomes
• Financial projections will reflect actual costs or savings
• The Service will be uninterrupted or error-free

Nexova is an analytical tool designed to inform workforce planning decisions. It is not a substitute for professional HR consulting, legal advice, or financial planning. All workforce decisions should involve appropriate human judgment, legal review, and stakeholder input.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKFORCEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. Our total liability for any claim related to the Service shall not exceed the amount you paid for the specific assessment or plan giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Nexova from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any workforce decisions you make based on assessment results.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. Data deletion follows the schedule outlined in our Privacy Policy, or you may request immediate deletion.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS in Los Angeles County, California, except that either party may seek injunctive relief in court for intellectual property violations or data breaches.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you disagree with changes, you may cancel your plan and request data deletion.
